Audits and Assurance 

Public-Company Financial Statement Audits

We are registered with the Public Company Accounting Oversight Board and provide audits and interim reviews of financial information for public companies reporting to the Securities and Exchange Commission.  Most of our clients are smaller reporting companies which are defined as companies with a public float of $75 million, which if not calculable, revenues of less than $50 million.  We service various industries including manufacturing, distribution, software and game technologies, bio and medical technologies, film, real estate and financial services.

During such engagements, we are not allowed to perform bookkeeping services, prepare financial statements and make decisions about technical accounting interpretations for you or your board of directors; however, we certainly will assist you in forming the proper conclusion.  When you encounter reporting and accounting difficulties, we will refer you to a technical accountant or CPA familiar with the rules and regulations of the Securities and Exchange Commission to assist you and keep our audit costs as low as possible.

Private-Company Financial Statement Audits

We provide audits of financial statements for private companies across the country.  Audits are considered the highest level of assurance for a company’s financial statements.  An audit requires us to understand your internal control environment, which often results in suggestions for improvements to help you control, once implemented, your financial reporting and reduce the risk of material errors or fraud by employees.  Banks or financial institutions generally will require an audit of your business if your line of credit is $1.5 to $3 million or greater.

Financial Statement Review Services

We provide reviews and compilations for private companies.  A review requires management to prepare complete financial statements and notes thereto, as required under accounting principles accepted in the United States.  Banks or financial institutions generally will require an audit of your business if your line of credit is $500,000 to $3 million. 

Financial Statement Compilation Services

A compilation generally involves the preparation of financial statements by a CPA, from your records.  There is no form of assurance, except that we generally will make inquiries of specific accounts to obtain understandings and make suggestions to management.   Banks or financial institutions generally will require an audit of your business if your line of credit is $100,000 to $500,000. 

We suggest you discuss our services involving your financial statement requirements with your bank of financial institution.  The levels of assurance required by your bank may be negotiable to reduce your costs.

Internal Audit Services / SOX 404

We provide outsourced internal audit services for private and public companies. These services involve a variety of services covering operational, financial, and compliance related activities. This includes the documentation, assessment, testing and remediation of internal controls.  There is empirical evidence that suggests that companies are more valuable and more profitable with a well-balanced and strong internal-control environment.

Due Diligence/Audit Support

Whether there is a pending acquisition or a financing transaction, we provide your services which will give you additional support for your decision.  We also provide audit support services to enable you to navigate tough accounting and reporting issues for your auditors.

Accounting for Income Taxes for Financial Reporting (SFAS 109 and FIN 48) – We prepare the calculations and disclosures required under SFAS 109 and FIN 48 for clients whom we do not perform the financial-statement audit. Generally this includes analyzing tax-basis balance sheets, stock option adjustments and pool accounting, business combinations and the deductibility of aggressive transactions. Our services enable principal auditors to remain independent with respect to their audits.
